These Terms & Conditions apply to purchases of furniture, furnishings, décor, custom products, furnishing packages, interior design services, procurement services, delivery, installation and other related services provided by Hyperborea Properties, S.A. de C.V., including services offered under the Portside Living and Tiffany Hu Design names.

By approving a quotation, placing an order, making a payment or engaging our services, the client acknowledges and agrees to the applicable terms outlined below, together with any additional terms contained in the corresponding quotation, proposal, invoice or service agreement.

1. Corporate Affiliation Disclosure

Portside Living and Tiffany Hu Design are service lines operated by Hyperborea Properties, S.A. de C.V., a company organized under the laws of Mexico.

Furniture sales, furnishing packages and interior design services may be marketed and priced as distinct service offerings and may be itemized separately within the same quotation or invoice. All such services are provided under the common ownership, management and operation of Hyperborea Properties, S.A. de C.V.

Portside Living serves as the furniture, furnishings and product-supply division of the company. Interior design services are provided by Tiffany Hu, Interior Designer, or by other qualified designers engaged by Hyperborea Properties for a specific project.

Where interior design services are provided in connection with furniture, furnishings or furnishing packages supplied through Portside Living, the applicable Design & Service Fee is identified separately from the cost of furniture, furnishings and other products.

Portside Living and Tiffany Hu Design do not operate as independent, unaffiliated or competing businesses. Both form part of a single integrated offering operated by Hyperborea Properties, S.A. de C.V.

2. Quotations & Pricing

All quotations are based on the products, quantities, specifications, finishes and services identified at the time the quotation is prepared.

Unless otherwise stated, pricing and product availability are subject to change until an order has been confirmed and the required payment has been received.

Quotation validity periods may vary and will be stated on the applicable quotation. Portside Living's current quotation format may, for example, specify a limited validity period and note that pricing and availability remain subject to change.

Prices may include or exclude shipping, installation, design services, taxes and other project-related costs depending on the scope of the quotation. These items will be identified separately where applicable.

Any applicable IVA will be shown on the quotation or invoice.

3. Furniture & Furnishing Orders

Furniture and furnishing orders are considered confirmed once the client has:

  1. Approved the applicable quotation or proposal; and
  2. Paid the required deposit or payment amount specified for the order.

Because many Portside Living products are made to order, customized, imported, sourced specifically for a client or produced in selected finishes, fabrics or dimensions, an order may become non-cancellable once production, procurement or purchasing has begun.

The specific terms applicable to cancellation or modification will depend on the type of product and stage of the order.

4. Interior Design Services

Interior design services may include, depending on the agreed scope:

  • Design consultation
  • Space planning
  • Furniture layouts
  • Furniture and décor selection
  • Finish and material selection
  • Custom furniture development
  • Sourcing and procurement
  • Vendor and artisan coordination
  • Styling
  • Installation coordination
  • Project-related design administration

The precise scope of interior design services will be outlined in the applicable proposal, quotation or design agreement.

Services or revisions requested outside the agreed scope may result in additional fees.

5. Design & Service Fee

Where interior design services are included in a project, a separate Design & Service Fee applies in addition to the cost of furniture, furnishings, décor and other products.

The Design & Service Fee will be identified as a separate line item in the applicable quotation or invoice.

The fee compensates for professional services associated with the project, which may include design development, furniture selection, sourcing, ordering, procurement coordination, receiving oversight, vendor communication, project administration, styling and other services included within the agreed scope.

Portside Living's current invoice structure, for example, identifies the Design & Service Fee separately from the furniture subtotal and other project charges.

6. Custom Furniture & Made-to-Order Products

Custom and made-to-order products are produced specifically for the client based on approved specifications.

The client is responsible for reviewing and approving relevant details, which may include:

  • Dimensions
  • Fabrics
  • Materials
  • Wood species
  • Finishes
  • Stone selections
  • Colors
  • Hardware
  • Design specifications

Natural materials such as wood, stone, leather, rattan and woven fibers will naturally vary in color, grain, texture, pattern and character.

These variations are inherent to natural materials and are not considered defects.

Handmade and artisan-produced pieces may also contain minor dimensional, tonal or finish variations.

7. Product Images & Samples

Photographs, renderings, finish samples, fabric samples and digital images are intended to provide a reasonable representation of the product.

Actual products may vary slightly due to lighting, screen settings, manufacturing processes and the natural characteristics of materials.

Where possible, clients are encouraged to review physical samples before approving important material or finish selections.

8. Lead Times

Production, procurement and delivery dates are estimates unless expressly guaranteed in writing.

Lead times may be affected by circumstances including:

  • Manufacturing schedules
  • Material availability
  • Supplier delays
  • Transportation
  • Customs
  • Weather
  • Road conditions
  • Holidays
  • Force majeure
  • Construction delays
  • Site access

Portside Living will make reasonable efforts to communicate significant changes to anticipated delivery timelines.

A delay outside Portside Living's reasonable control does not automatically constitute grounds for cancellation or reimbursement of a custom or specially ordered product.

9. Shipping

Shipping charges are calculated based on the destination, order size, product type and logistical requirements of the project.

Shipping may be estimated at the quotation stage and adjusted if actual freight, transportation or handling costs differ materially from the original estimate.

Where shipping is shown as an estimate, the final amount may be adjusted before delivery.

10. Delivery & White Glove Service

Where selected, Portside Living may provide White Glove Service, which can include delivery, placement, setup, assembly and removal of packaging or delivery-related debris, depending on the project.

The applicable fee will be shown separately on the quotation or invoice. Portside Living's current invoice format identifies White Glove Service as a separate project charge.

White Glove Service does not include construction work, electrical work, plumbing, structural modifications or other services unless specifically included in writing.

11. Site Access & Client Responsibilities

The client is responsible for ensuring that the property is accessible and sufficiently prepared for delivery and installation.

This includes confirming that:

  • Access roads are suitable for delivery vehicles
  • Elevators, stairs, corridors and doorways can accommodate the products
  • Construction areas are sufficiently complete and safe
  • Floors and finished surfaces are protected where necessary
  • Required building or condominium permissions have been obtained
  • Electricity, lighting or other utilities required for installation are available

Additional delivery, labor, handling or storage charges may apply if delivery cannot be completed due to conditions outside Portside Living's control.

12. Measurements

Where clients provide their own dimensions, plans or architectural information, Portside Living may rely on those measurements unless site verification is included within the agreed scope.

Portside Living is not responsible for errors resulting from inaccurate measurements, drawings or information supplied by the client or third parties.

Where custom furniture is being produced for a specific location, final site measurements may be required before manufacturing.

13. Changes to Confirmed Orders

Requests to change an approved order must be submitted as soon as possible.

Portside Living will determine whether the requested modification can reasonably be accommodated based on the production or procurement status of the item.

Changes may result in:

  • Additional product costs
  • Design fees
  • Manufacturing fees
  • Restocking charges
  • Additional shipping
  • Revised lead times

Once production has begun or a product has been ordered from a supplier, changes may no longer be possible.

14. Cancellations & Returns

Cancellation and return eligibility varies depending on the product.

Custom, made-to-order, specially sourced, modified, personalized or client-approved products may not be eligible for cancellation, exchange or return once production or procurement has commenced.

Any return of an eligible stock item must be authorized by Portside Living before the item is returned.

Any applicable restocking, transportation, shipping or handling costs will be communicated to the client.

Where a quotation, order confirmation or manufacturer policy contains more specific cancellation or return conditions, those terms will apply to that product.

15. Inspection Upon Delivery

Clients should inspect furniture and furnishings promptly following delivery.

Any visible shipping damage, missing items or material concerns should be reported to Portside Living as soon as reasonably possible, together with photographs where appropriate.

Portside Living will review the issue and coordinate with the applicable supplier, manufacturer or transportation provider where necessary.

16. Warranty

Warranty coverage varies by product and manufacturer.

Where a manufacturer's warranty applies, Portside Living will assist the client with the reasonable administration of a valid warranty claim.

Warranty coverage generally does not extend to damage caused by:

  • Misuse or improper care
  • Normal wear and tear
  • Exposure to excessive moisture or humidity
  • Direct sunlight
  • Improper cleaning products
  • Accidents
  • Pets
  • Unauthorized modifications
  • Environmental conditions
  • Failure to follow applicable care instructions

Natural variations in materials are not considered manufacturing defects.

Specific warranty terms supplied by the manufacturer will take precedence where applicable.

17. Third-Party Suppliers, Manufacturers & Artisans

Portside Living works with a range of manufacturers, suppliers, artisans, freight providers and other third parties.

Although Portside Living coordinates these relationships as part of its services, certain manufacturing, freight or production matters may remain subject to the policies and capabilities of the applicable third-party provider.

Portside Living will make reasonable efforts to assist clients in resolving legitimate issues relating to products sourced through its network.

18. Intellectual Property

Design concepts, drawings, furniture layouts, presentations, mood boards, specifications, renderings and other creative materials produced by Portside Living or its design team remain the intellectual property of Hyperborea Properties, S.A. de C.V. unless otherwise agreed in writing.

Such materials are prepared for the specific client and project for which they were commissioned and may not be reproduced, commercially exploited or provided to another designer, contractor, furniture supplier or manufacturer for reproduction without written authorization.

19. Project Photography

Portside Living may request permission to photograph completed projects for portfolio, website, social media, editorial and marketing purposes.

Where privacy is requested, identifying client information and property details can be omitted.

Any photography arrangement requiring property access will be coordinated with the client in advance.

20. Limitation of Liability

To the extent permitted by applicable law, Hyperborea Properties, S.A. de C.V., Portside Living and their representatives shall not be responsible for indirect, incidental or consequential losses arising from circumstances outside their reasonable control.

Nothing in these Terms & Conditions is intended to exclude any rights or remedies that cannot legally be excluded under applicable Mexican law.

21. Force Majeure

Portside Living shall not be responsible for delays or failure to perform caused by events reasonably outside its control, including natural disasters, hurricanes, severe weather, transportation interruptions, government restrictions, labor disruptions, supplier interruptions, material shortages, customs delays or other force majeure events.

Portside Living will make reasonable efforts to resume performance as soon as circumstances permit.

22. Governing Law

These Terms & Conditions and any transaction or service provided by Hyperborea Properties, S.A. de C.V. are subject to the applicable laws of Mexico.

Any additional jurisdiction or dispute-resolution provisions contained in a signed agreement or project-specific contract will also apply.

23. Acceptance of Terms

Approval of a quotation, execution of a service agreement, placement of an order or submission of payment constitutes acknowledgement and acceptance of the Terms & Conditions applicable to that transaction.

Where a signed proposal, quotation or project-specific agreement contains terms that differ from these general website Terms & Conditions, the terms of the signed project document will take precedence with respect to that project.
